1. Acceptance of Terms

By accessing or using CloudShip AI's platform, services, APIs, or any related software (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

These Terms constitute a legally binding agreement between you and CloudShip AI, Inc. ("CloudShip AI," "we," "us," or "our"). If you do not agree to these Terms, you may not access or use our Service.

2. Description of Service

CloudShip AI provides an AI-powered platform for managing, deploying, and orchestrating AI agents and applications across cloud infrastructure, including but not limited to:

  • AI agent deployment and management
  • Container orchestration and Kubernetes integration
  • Cloud infrastructure management across AWS, Azure, GCP, and other providers
  • Application registry and bundle management
  • Real-time monitoring and analytics
  • API services and developer tools

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts and Organizations

To use our Service, you must create an account and may create or join an organization. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring all information provided is accurate and current
  • Notifying us immediately of any unauthorized use of your account

Organizations are subject to additional terms regarding member management, billing, and data access controls as specified in your organization settings.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Deploy malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to systems or data
  • Interfere with or disrupt the Service or servers
  • Use the Service for cryptocurrency mining without explicit permission
  • Engage in activities that could harm our reputation or users
  • Violate any third-party terms of service (including cloud provider terms)

We reserve the right to investigate and take appropriate action against users who violate this policy, including account suspension or termination.

5. Data and Privacy

Your privacy is important to us. Our Privacy Policy, which is incorporated by reference into these Terms, describes how we collect, use, and protect your information.

By using our Service, you acknowledge that:

  • We may process your data as described in our Privacy Policy
  • You are responsible for ensuring you have rights to any data you upload
  • You will comply with applicable data protection laws (GDPR, CCPA, etc.)
  • We implement industry-standard security measures but cannot guarantee absolute security

6. Intellectual Property

The Service and its original content, features, and functionality are owned by CloudShip AI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content, code, or data you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content solely to provide the Service.

7. Third-Party Services

Our Service integrates with third-party cloud providers and services, including but not limited to Amazon Web Services (AWS), Microsoft Azure, Google Cloud Platform (GCP), and Kubernetes. Your use of these third-party services is subject to their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party services, and we disclaim all warranties with regard to these services.

8. Billing and Payment

Paid features of the Service are subject to the pricing and payment terms specified in your account settings. By subscribing to paid features, you agree to:

  • Pay all applicable fees and charges
  • Provide accurate billing information
  • Authorize automatic billing for recurring subscriptions
  • Pay any applicable taxes

We reserve the right to modify our pricing at any time, with advance notice for existing subscribers. Refunds are subject to our refund policy as specified in your account settings.

9. Service Level Agreement (SLA)

For enterprise customers, we provide service level commitments as specified in separate SLA documents. Standard service availability targets are:

  • 99.9% uptime for core platform services
  • Response times as specified in support tier documentation
  • Data backup and disaster recovery procedures

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDSHIP AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our aggregate liability for all claims related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless CloudShip AI from any claims, damages, losses, and expenses (including reasonable attorney fees) arising out of or relating to your use of the Service, violation of these Terms, or infringement of any rights of another party.

12. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your access to the Service will cease immediately
  • We may delete your account and data after a reasonable notice period
  • Outstanding fees remain due and payable
  • Sections regarding intellectual property, limitation of liability, and governing law survive termination

13. Compliance and Security

We maintain compliance with industry standards and regulations, including:

  • Privacy practices aligned with GDPR and CCPA principles
  • Industry-standard encryption and security practices
  • Regular security updates and monitoring
  • Transparent data handling practices

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after such notification constitutes acceptance of the new Terms.
